Welcome to Swapnobiz Digital, a subsidiary of Swapnobiz. These Terms & Conditions ("Terms") govern your access to and use of our website, no-code website builder, digital business card platform, QR solutions, loyalty solutions, and all related products and services ("Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Eligibility

Swapnobiz Digital is not responsible for losses resulting from unauthorized access caused by your failure to protect your account credentials.

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Customer Content

You retain ownership of the content you upload, including text, images, logos, videos, and other materials.

By uploading content, you grant Swapnobiz Digital a limited, non-exclusive license to host, store, process, display, and transmit the content solely for the purpose of providing the Services.

You are responsible for ensuring that your content does not violate any laws or third-party rights.

5. Intellectual Property

All software, platform features, trademarks, branding, designs, graphics, logos, source code, documentation, and other intellectual property belonging to Swapnobiz Digital or Swapnobiz remain our exclusive property unless otherwise stated.

You may not copy, reproduce, modify, distribute, reverse engineer, or commercially exploit any part of our Services without prior written permission.

6. Subscription, Billing & Payments

Where applicable:

  • Subscription fees are payable in advance.
  • Prices may change with prior notice.
  • Failure to make timely payments may result in suspension or termination of Services.
  • Taxes, including GST where applicable, will be charged in accordance with Indian law.

7. Refund Policy

Unless otherwise stated in a separate agreement or promotional offer:

  • Subscription fees are generally non-refundable.
  • Refund requests are evaluated on a case-by-case basis.
  • Domain registrations, third-party services, SMS credits, WhatsApp services, payment gateway charges, and similar external services are non-refundable once activated or consumed.

8. Service Availability

We strive to provide reliable and uninterrupted Services; however, we do not guarantee continuous availability.

Scheduled maintenance, software upgrades, internet failures, third-party service interruptions, or unforeseen events may temporarily affect service availability.

9. Data Privacy

Your use of our Services is governed by our Privacy Policy. We process personal information in accordance with applicable laws, including the Digital Personal Data Protection Act, 2023 (India), where applicable.

10. Third-Party Services

Our platform may integrate with third-party providers such as:

  • Payment gateways
  • Domain registrars
  • Email and SMS providers
  • WhatsApp messaging services

Your use of these services may also be subject to their respective terms and privacy policies.

11. Limitation of Liability

To the maximum extent permitted by law, Swapnobiz Digital and Swapnobiz shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business interruption, loss of data, or loss of goodwill arising from the use of our Services.

Our total liability for any claim shall not exceed the amount paid by you for the relevant Service during the preceding 12 months.

12. Indemnification

You agree to indemnify and hold harmless Swapnobiz Digital, Swapnobiz, their directors, employees, partners, and affiliates from any claims, damages, liabilities, losses, costs, or expenses arising from:

  • Your misuse of the Services.
  • Your violation of these Terms.
  • Your infringement of any third-party rights.
  • Content uploaded or published through your account.

13. Suspension & Termination

We reserve the right to suspend or terminate your account without prior notice if:

  • You violate these Terms.
  • Your activities pose a security or legal risk.
  • Required by law or a competent authority.
  • Subscription fees remain unpaid.

Termination does not relieve you of any outstanding payment obligations.

14. Changes to the Services

We may modify, improve, discontinue, or replace features or Services at any time to enhance performance, security, or compliance.

15. Changes to These Terms

We may update these Terms from time to time. The revised version will be posted on our website with the updated effective date. Continued use of the Services after such updates constitutes acceptance of the revised Terms.

16. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Kolkata, West Bengal, India, unless otherwise required by applicable law.
